Pursuant to Section 329 of the Companies Act 1985 I hereby notify you that
Mr M J Lamb, a Director of this Company, today exercised an option in respect of
3,631 Ordinary shares in IMI plc under the IMI SAYE Share Option Scheme. The
subscription price was 213 pence per share. Mr Lamb has retained the shares.
