C Paul, a Director of this Company, exercised an option on 5 January 2000 in
respect of 73,000 Ordinary shares in IMI plc under the IMI Executive Share
Option Scheme. The subscription price was 224.4 pence per share.  He sold
53,206 shares at a price of 281 pence per share.
