that on 13th June 2005, Mr W R Whitney, a director of this Company, exercised an
option, granted to him under the IMI Executive Share Option (1995) Scheme as
follows:

3 April 2002                          30,000           309.1p per share


In order to fund the purchase and pay the tax charge arising Mr Whitney sold
25,601 of the shares (acquired on exercise) at a price of 411.7825p per share.
Mr Whitney retained 4,399 shares.
