In accordance with Section 329 of the Companies Act 1985, I hereby notify you
that Mr M J Lamb was granted an option on 6th April 2004 under the IMI SAYE
Share Option (1994) Scheme over 1335 Ordinary Shares of 25p each in IMI plc at a
subscription price of 289 pence per share (the consideration for the grant of
the options being entry into a five year savings contract under the Scheme).
