that Mr G J Allen, a Director of this Company, exercised an option on 18th
October 2002 in respect of 40,000 Ordinary shares in IMI plc under the IMI
Executive Share Option Scheme. The subscription price was 226.6 pence per share.
He sold 40,000 shares at a price of 260.5875 pence per share.
