that Mr T J Slack was granted options on 8 April 2002 under the IMI SAYE Share
Option (1994) Scheme, of 467 shares at a subscription price of 244 pence per
share (the consideration for the grant of the options being entry into savings
contracts under the Scheme), in respect of the number of Ordinary shares of 25p
each in IMI plc.
