Pursuant to Section 329 of the Companies Act 1985 I hereby notify you we have
received notice from Mr M J Lamb, a Director of this Company, that on 10 January
2002 he sold 4341 IMI shares at £275.5p whilst effecting a matching purchase of
4289 IMI shares into an existing PEP at a price of £276p.
