In accordance with Section 329 of the Companies Act 1985, I hereby notify you
that Mr David Storey, a Business President of this Company, has exercised an
option over 5,000 IMI Ordinary shares granted to him in 1996 under the IMI
Executive Share Option (1995) Scheme at a price of 398.9p per share on 3rd July
2006.   Also on 3rd July 2006 Mr Storey sold 5,000 shares at 505p per share.

In addition, I hereby notify you that on 5th July 2006, Mr M J Lamb, a director
of this Company, exercised an option over 1,679 shares at an option price of
201p per share which had been granted to him in 2001 under the IMI SAYE Share
Option (1994) Scheme.    Mr Lamb retained all 1,679 shares.
