IG Group Holdings plc (the "Company") - Voting Rights and Capital

In accordance with the FSA's Disclosure and Transparency Rule 5.6.1, the Company hereby notifies the market of the following:

The Company's issued share capital as at 29 February 2012 consists of 363,260,497 ordinary shares of 0.005p each, with voting rights.

The Company does not hold any of the ordinary shares in Treasury.

The above figure of 363,260,497 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
