As a result of transactions on 31 January 2006 by  i-documentsystems Trustees
Limited under the IDOX Xtra Plan (an all employee share purchase plan approved
by Her Majesty's Revenue and Customs), the executive directors of the Company
have the following interests as a result of their personal participation in the
Plan:-

The beneficial ownership of the Matching Shares will pass to Andrew Fraser in
three years time subject to continued employment and the retention of the
underlying Partnership Shares.



Andrew Fraser now currently holds 14,699,209 ordinary shares of 1p per share,
inclusive of the above Partnership shares, in the company representing 7.53% of
the current issued share capital.
