Director's Dealings


On 18 December 2002, the following share transactions were effected:



1)      Mr Christopher Wright, a Director of the Company, purchased
222,222 ordinary shares in the company at a price of 11.25 pence per share
representing a holding of 0.16% of the entire issued share capital of IDOX.
This represents Mr Wright's entire personal shareholding in the Company.



2)      Merifin Capital N.V., ('Merifin'), of which Mr Wright is a
Director, purchased 2,666,667 ordinary shares at a price of 11.25p. Merifin
previously held 3,854,166 ordinary shares in IDOX and its new holding of
6,520,833 represents a holding of 4.63% in the entire issued share capital of
IDOX.



3)      The vendor of the shares referred to in both instances above was
Lombard Risk Management Group plc, ('LRM') of which John Wisbey, Chairman of
IDOX, and Mr Wright are directors.  Consequently, LRM's shareholding has reduced
to 24,100,712 ordinary shares representing 17.11% of the entire issued share
capital of IDOX.



The ordinary shares referred to above are the ordinary shares of 1 pence each in
the Company.  The Company was informed of the transactions on 19 December 2002.
