Non-Mainstream Pooled Investments

The Board of the Company notes the rules of the UK Financial Conduct Authority ("FCA") relating to restrictions on the retail distribution of unregulated collective investment schemes and close substitutes (referred to as "non-mainstream pooled investments"), effective from 1 January 2014.

The Board has been advised that the Company would qualify as an investment trust if it were resident in the UK and believes that the retail distribution of its shares should be unaffected by the proposed changes. It is the Board's intention that the Company will make all reasonable efforts to conduct its affairs in such a manner so that its shares can be recommended by IFAs to ordinary retail investors in accordance with the FCA's rules relating to non-mainstream pooled investments.
