Possible Offer for Hyve Group plc ("Hyve")

Following the recent movement in Hyve's share price, the Board of Hyve confirms that it has received a preliminary and conditional approach from Providence Equity LLP ("Providence Equity") regarding a possible cash offer for Hyve of 105 pence per Hyve share (the "Proposal"). The Board of Hyve is considering its position with respect to the Proposal and a further announcement will be made in due course.

The Proposal follows an earlier approach from Providence Equity to the Board regarding a possible all cash offer for Hyve at 101 pence per Hyve share.

In accordance with Rule 2.6(a) of the Code, Providence Equity is required, by not later than 5.00 p.m. on 21 March 2023, either to announce a firm intention to make an offer for Hyve in accordance with Rule 2.7 of the Code or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Code applies. This deadline can be extended with the consent of the Panel on Takeovers and Mergers in accordance with Rule 2.6(c) of the Code.

This statement is being made by Hyve without the prior agreement or approval of Providence Equity. There can be no certainty that an offer will be made nor as to the terms on which any offer might be made.
