ITE Group plc ('ITE' or 'the Company') 

Result of EGM

The board of ITE announces that the resolutions put to shareholders at the EGM
of the Company held on 16 June 2005 were duly passed. The proposed cancellation
of the share premium account of the Company remains subject to court approval,
which is to be sought at a court hearing that is expected to occur on 6 July
2005.
