ITE Group PLC ('ITE' or 'the Company')


Directors' Shareholding


ITE has today received notification from Mourant & Company Trustees Limited,
trustees of the ITE Employee Benefit Trust (the 'Trust'), that they have
purchased a total of 1,000,000 ordinary shares in the Company at a price of 86p
per share,  for the purpose of satisfying exercises under the Company's employee
share ownership schemes, using Trust assets.


The Directors of the Company have an interest in the above shares by virtue of
them being members of the class of beneficiaries of the Trust.


11,127,000 ordinary shares are now held in the Trust, representing 3.86% of the
issued share capital of the Company.
