ITE Group PLC ('ITE' or 'the Company')

ITE Group PLC announces that following the tender offer to purchase its own
shares dated 25 July 2005, the ITE Group PLC Employee Benefit Trust (the
'Trust') which did not participate in the tender offer, continues to hold
11,127,000 ordinary shares, which now represents 4.28% of current issued share
capital of the Company.

The Directors of the Company have an interest in the above shares by virtue of
them being members of the class of beneficiaries of the Trust.
