The appointments of Stewart Newton, Carole Taylor and Sir Brian Williamson an
non-executive directors of HSBC Holdings plc were announced with effect from 27
September 2002.

There are no matters relating to the appointment of these directors which need
to be disclosed pursuant to Rule 16.4 of the Listing Rules.

Stewart Newton has not been a director of any publicly quoted companies in the
last five years.

Carole Taylor is currently a director of the following publicly quoted
companies: Canfor Corporation and Fairmont Hotels & Resorts. In the past 5 years
Carole Taylor has been a director of the following companies: Canadian Pacific
Limited, CP Rail and Chapters.

Sir Brian Williamson is currently a director of the following publicly quoted
company: Electra Investment Trust plc. In the past five years Sir Brian
Williamson has been a director of Bank of Ireland, Gerrard Group plc and the
