                        THIRD INTERIM DIVIDEND FOR 2005

                           SCRIP DIVIDEND ALTERNATIVE

Pursuant to HSBC Holdings plc's third interim dividend for 2005 a total of
24,184,953 Ordinary Shares of US$0.50 each have been issued. Accordingly,
application has been made to the Financial Services Authority for these shares
to be admitted to the Official List and to the London Stock Exchange for these
shares to be admitted to trading. The Shares rank pari passu with the existing
issued ordinary shares of the Company. Dealings are expected to commence on 19
January 2006.
