DIRECTORS' SHAREHOLDINGS

The Company were advised on 28 September 2000, that on 28
September 2000 the trustee of the MFI Employee Share
Trust acquired 61,578 MFI Furniture Group PLC ordinary
10p shares at 63.25 pence per share in connection with
the operation of the MFI 2000 Share Option Scheme.  The
directors of MFI Furniture Group Plc are deemed to be
interested in all of the shares held by the trustee of
the Trust as potential beneficiaries of the Trust.
