Directors' Notification of Dealing in Shares

INTERESTS OF DIRECTORS

We hereby notify you that we were advised on 22 May 2000
that the trustee of the MFI Employee Share Trust (the
'Trust') acquired 1,080,000 MFI Furniture Group Plc
ordinary 10p shares  ('MFI Shares') on 19 May 2000 at
69.5 pence per share and 2,173,043 MFI Shares on 22 May
2000 at 69 pence per share in connection with the
operation of the MFI Furniture Group Plc 2000 Share
Option Scheme (the 'Scheme'), the MFI Furniture Group Plc
Performance Share Plan (the 'Plan') and the MFI Group Plc
Deferred Bonus Plan ('the DB Plan').

The directors of MFI Furniture Group Plc (the 'Company')
are deemed to be interested in all of the shares held by
the trustee of the Trust as potential beneficiaries of
the Trust.

The directors of the Company have been granted options
under the Scheme ('Grants') at 68.25 pence per share
and awards under the Plan ('Awards'). Under the terms of
the Plan the directors have a contingent right to receive
ordinary shares in the Company.

The directors have also received a deferred bonus award
under the DB Plan ('the Deferred Bonus Award').Under
the terms of the DB Plan the directors have a conti ngent
right to receive ordinary shares in the Company

The Company was therefore notified on 22 May 2000 of the
interests of the directors named below in the ordinary
shares of the Company by virtue of such Grants, Awards
and Deferred Bonus Awards being made, such notification
having been given by such directors in accordance with
Section 324 of the Companies Act 1985:
