1992 EXECUTIVE SHARE OPTION SCHEME

We hereby notify you that we were advised on 2 April 2002, that Matthew Ingle,
an executive director of MFI Furniture Group Plc (the 'Company') and a
participant in the 1992 Executive Share Option Scheme (the 'Scheme'), exercised
an option over 754,000 MFI Furniture Group Plc ordinary 10p shares ('Shares') at
63 pence each. Following this exercise Matthew Ingle sold 630,000 Shares at 169
pence per share. Mr Ingle's holding in the Company now stands at 139,000 Shares
(prior to this transaction it was 15,000 Shares), such notification having been
given in accordance with Section 324 of the Companies Act 1985.
