DIRECTORS DEALINGS

We hereby notify you that on 3 April 2001, the MFI Employee Share Trust ('the
Trust') disposed of 142,857 ordinary shares in MFI Furniture Group Plc ('the
Company') in satisfaction of a conditional award of shares ('the Award') that
had previously been made to John Hancock on 1 March 1999. 85,715 of these
shares were transferred to Mr Hancock. The remaining 57,142 shares were sold
by the Trust in the market and the sale proceeds of sale will be used to fund
Mr Hancock's income tax liability under the Award. Mr Hancock provided no
consideration for the acquisition of these shares.

The Directors of Company are deemed to have a technical interest in this
transaction as potential beneficiaries under the Trust. The Trust is a
discretionary trust for the benefit of employees of the Company and its
subsidiaries and certain related persons.
