DIRECTORS' SHAREHOLDINGS.


We hereby notify you that we were advised that on 26 March 2001 the Trustee of
the MFI Employee Share Trust ('the Trust') acquired 500,000 MFI Furniture
Group Plc ordinary 10p shares ('MFI shares') at 90.5 pence per share and on 27
March 2001 the Trust acquired 250,000 MFI shares at 92 pence per share in
connection with the operation of the MFI Furniture Group Plc Performance Share
Plan ('the Plan).


All the executive directors of MFI Furniture Group Plc ('the Company') are
deemed to be interested in all of the shares held by the Trustee of the Trust
as potential beneficiaries of the Trust.
