                             DIRECTORS' DEALINGS




The Company was informed on 6 December 2000 that, Mr N A Johnson, non
executive director of the Company purchased 50,000 ordinary shares of 5p each
in the Company ('Ordinary Shares') at 146.12p per Ordinary Share on 6 December
2000. Following this transaction, Mr N A Johnson has a beneficial interest in
60,000 Ordinary Shares, which represents 0.72 per cent. of the Company's
issued ordinary share capital.
