HONGKONG LAND HOLDINGS LIMITED ('HKLH')

DISCLOSURE OF INTEREST - SUBSTANTIAL SHAREHOLDER

HKLH was notified on 19th December 2006 that the nature of Jardine Strategic
Holdings Limited's ('JSH') interest in 69,561,004 HKLH shares, representing
3.03% of its issued share capital, had changed from a deemed interest to a
direct beneficial interest on 19th December 2006.  This followed the acquisition
by JSH of 69,561,004 HKLH shares from The Hongkong Land Company, Limited at a
price of US$3.86 per share. JSH's total interest in HKLH remains unchanged at
46.11%.

By virtue of its interest in JSH, Jardine Matheson Holdings Limited is deemed to
be interested in the same number of HKLH shares.
