5.Cause of occurrence: Bharat FIH Limited ("BFIH") received final observations from the Securities and Exchange Board of India ("SEBI") on 10 June 2022. Accordingly, BFIH may file a red herring prospectus with SEBI or other relevant authorities as may be required and initiate the initial public offering process within 12 months from the date of receipt of final observations (i.e., by 9 June 2023). However, in view of the current market conditions, BFIH has decided to postpone its initial public offering and listing in India ("Proposed Listing") and intends to resume the Proposed Listing when market conditions improve.
