Regulatory News Announcement - Performance Share Plan Awards

HAMILTON; On 7 April 2009, the Board of Hiscox Ltd (the 'Company') granted awards over a total of 3,741,000 ordinary shares of 5p each in the Company pursuant to the Hiscox Ltd Performance Share Plan. The awards are subject to performance conditions which will be calculated over a three year period, and to the extent these are satisfied, the awards will vest and become exercisable on 8 April 2012.  No price is payable on the exercise of these awards.

Included in these grants were awards granted to directors of the Company as set out below:

RRSH Hiscox	50,000
BE Masojada	275,000
RS Childs	225,000
SJ Bridges	200,000
