                            Director's Shareholdings


Hiscox plc (the 'Company' or 'Hiscox') was notified on 26 November 2002 that
Robert Hiscox became the non-beneficial owner of an additional 23,146 shares in
the Company on 21 October 2002, bringing his non-beneficial interest to 598,146
shares or 0.2% of the Company. Robert Hiscox's beneficial holding of 8,821,650
or 3.05% of the Company remains unchanged.

The executive directors of the Company are potential beneficiaries of the
Company's employee's share ownership plan trust (the 'ESOP') and are therefore
each deemed to have an interest in 255,466 Hiscox shares owned by Hiscox
Trustees Limited, the trustee of the ESOP.
