                            Directors' Shareholding

The board of Hiscox plc ('Hiscox' or the 'Company') has today been notified that
Dr. Carol Franklin Engler (a non-executive director of the Company) and her
husband bought 6,000 ordinary shares of 5p each in the Company ('Shares') at
139p per Share on 31 January 2002 and 5,000 Shares at 130p per Share on 4
February 2002. Consequently, the total interest of Dr. Carol Franklin Engler in
the Company is 11,000 Shares or 0.006 per cent. of the Company.
