Notification of transactions by Persons Discharging Managerial Responsibilities

This notification is made in accordance with DTR 3.1.4R (1)

On 7 April 2011, the following transactions took place:

1.         Awards over ordinary shares in the Company which had been made on 7 April 2008 ('2008 
Awards'), under the Hiscox Ltd Performance Share Plan (the 'Plan'), vested in full.  Upon vesting, the Executive Directors of the Company received further nil cost awards representing the rolled up dividend equivalent between grant and vesting on the vested 2008 Awards ('Rolled Up Dividends').

The awards of Rolled Up Dividends received, which are exercisable until 7 April 2018 are as follows:

2.         Awards at nil cost, over ordinary shares in the Company, have been made to the Executive 
Directors under the Plan ('2011 Awards'). The vesting of the 2011 Awards is subject to performance conditions, which will be measured over a three year performance period from 1 January 2011 to 31 December 2013.

            The number of 2011 Awards made are as follows:
