Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons under DTR 3.1.4 R(1)(a)

Hiscox Ltd ('Hiscox' or 'the Company') 

Hiscox announces that it received notification on 21 January 2009 from Robert Hiscox, Chairman of the Company, that on 2 March 2000 he granted security over 1,921,350 ordinary shares held by him in the Company.

Hiscox also received notification on 21 January 2009 from Mr Bronislaw Masojada, a director of the Company, that security arrangements exist over 2,903,172 of his beneficially owned ordinary shares in the Company.  On 24 September 2007, Mr B E Masojada granted security over 755,452 ordinary shares.  On 13 June 2007, Matterhorn Assets, a company wholly owned by Matterhorn Trust, a trust of which Mr Masojada is a beneficiary, granted security over 1,387,670 ordinary shares.  On 14 June 2007 and 23 June 2008, Matterhorn Assets granted security over a further 528,816 ordinary shares and 231,234 ordinary shares respectively.
