Hill & Smith Holdings PLC - Grant of Options to Director

On 8 February 2001, Mr. David Grove was granted options by Close Investment
Management Limited over 450,000 Hill & Smith Ordinary shares ('Hill & Smith
Shares') at 55p per share. The options granted to Mr. Grove are over existing
Hill & Smith Shares owned by Close Investment Management.


This is in addition to similar options granted by Close Investment Management
Limited on 25 August 1998 over 851,344 Hill & Smith Shares at 47p per share,
on 18 August 1998 over 187,500 Hill & Smith Shares at 47p per share and in
March 1998 over 805,338 Hill & Smith Shares at 40p per share.


Therefore in total, Mr. Grove has options granted by Close Investment
Management Limited over 2,294,182 Hill & Smith Shares which are all
exercisable seven years from the respective dates of grant.
