                             Proposed Acquisition


Highway Capital plc announces that it has reached agreement, subject to
contract, to acquire the entire issued share capital of Vector OEM Content
Limited ('Vector') in an all share deal. The proposed acquisition will be
subject to the approval of shareholders of Highway Capital.


Manchester based Vector licences consumer software products from developers
and publishers which it bundles for sale with PC equipment.


In accordance with the Listing Rules of the UK Listing Authority, trading in
the shares of Highway Capital will be suspended pending despatch of the
relevant shareholder documentation.
