                    Notification of Substantial Shareholding



The Company received notification today that Mrs H R Conn and 1st Policy Company
Limited, both part of D G & M B Conn and Associates, each purchased 17,500
ordinary shares in Highcroft on 23 February 2006.



Following these purchases, D G & M B Conn and Associates now have an interest in
830,635 ordinary 25p shares of Highcroft Investments which represents
approximately 16.1 per cent of the issued share capital as at today's date.
