Highcroft Investments plc 'Highcroft or the company'

The board was informed on Friday 11 October that 17,148 Highcroft ordinary
shares of 25p each were purchased at 357.5p on Thursday 10 October by the Mr &
Mrs Ashmore Discretionary Trust 2002 of which David Bowman's wife is a trustee
and their son is one of five beneficiaries, Mr Bowman being a director of the
Company.

The board was also informed that on Friday 11 October a family trust, of which
two Highcroft Directors, David Bowman and David Kingerlee, are trustees,
received on the 11 October 16,300 ordinary shares in the Company as a gift.

Following these transactions Mr Bowman has a beneficial interest in 16,660
ordinary shares being 0.32per cent. of the Company's issued ordinary share
capital and a non-beneficial interest in 72,748, being 1.41per cent. of the
Company's issued ordinary share capital.

Mr Kingerlee now has a beneficial interest in 159,500 ordinary shares, being
3.09per cent. of the Company's issued ordinary share capital and a
non-beneficial interest in 55,600 ordinary shares, being 1.08per cent. of the
Company's issued ordinary share capital.
