                                Director Shareholdings


The Company was notified on the 29 March 2006, in accordance with the provisions
of section 198-202 of the Companies Act 1985 that 8,574 Highcroft ordinary
shares were yesterday sold at 600 pence per share by a trust of which David
Bowman's wife is a trustee and their son is one of five beneficiaries, Mr Bowman
being a director of the Company.


Mr Bowman therefore has a beneficial interest in 14,945 shares being 0.29% of
the company's issued ordinary share capital and a non-beneficial interest in
82,874 being 1.60% of the company's issued ordinary share capital.
