Highcroft Investments PLC (the 'Company') has been informed that yesterday David
Kingerlee, an Executive Director has sold 1500 ordinary shares in the Company to
the JM Kingerlee Settlement Trust, of which the children of David Kingerlee are
beneficiaries, at a price of 772.5 pence.

David Kingerlee and David Bowman, Finance Director, are both trustees to the JM
Kingerlee Settlement Trust.

Following this transfer David Kingerlee's interest in the Company's ordinary
share capital is registered in the following names:

share capital.
