HICL Infrastructure Company Limited ("HICL" or the "Company")

Total Voting Rights

In conformity with the FSA's Disclosure and Transparency Rules, we would like to notify the market of the following:

As at 30 September 2011, the Company's issued share capital consists of 632,270,249 ordinary shares of 0.01p each.  The total issued share capital with voting rights is 632,270,249. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.

The Company announced earlier today that it has issued for cash, subject to admission to the Official List of the UK Listing Authority, a further 10,000,000 Ordinary Shares of 0.01 pence each in the Company ("New Shares") (being the 5,200,000 announced on 29 September and the 4,800,000 announced earlier today).  Application has been made for the New Shares to be admitted to the Official List and to trading on the London Stock Exchange. It is expected that dealings in the New Shares will commence at 8.00 a.m. on 3 October 2011.

Effective from 3 October 2011, the Company's share capital is therefore expected to consist of 642,270,249 ordinary shares with voting rights.  With effect from 3 October 2011, this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
