ANNUAL GENERAL MEETING - 19th MAY 2006



Henry Boot PLC gives notice that at the Annual General Meeting of the Company
held earlier today, all the Resolutions, as set out in the Notice of the Meeting
dated 13th April 2006, were passed unanimously on a show of hands.



Details of the Resolutions can be found in the Notice of the Meeting, which has
been previously submitted to the United Kingdom Listing Authority for inspection
at its Document Viewing Facility.



As referred to in the Preliminary Announcement of Results for 2005 made on 5th
April 2006, Mr. J.A.B. Redgrave resigned as a Non-executive Director of the
Company at the conclusion of the Annual General Meeting held earlier today.
