HOLDING IN THE COMPANY

The Company received notification today that in accordance with section 198 of
the Companies Act 1985, as amended, Moore Street Securities Limited, the
Corporate Trustee for the Employee Share Ownership Plan has a notifiable
interest of 834,717 in the ordinary 10p shares of the company, representing 3.25
per cent. of the issued share capital.

This percentage is based on 25,677,563 Henry Boot PLC shares in issue as at
the date of this announcement.
