Purchase of Shares by Employee Trust


Moore Street Securities Limited, the corporate trustee of the Henry Boot PLC
Employee Trust ('the Trust'), has purchased 125,000 Ordinary Shares of 10 pence
each ('Ordinary Shares') in Henry Boot PLC ('the Company').  As a consequence of
this purchase, the Trust now holds 2,141,420 Ordinary Shares in the Company
which it uses to satisfy the share requirements of the Company's Long Term Share
Incentive Plans and Savings Related Share Option Scheme.
