Notification of Transactions of a Director/Person Discharging Managerial Responsibility and Connected Persons

Henry Boot PLC ('the Company') has today been advised by Mr John Sutcliffe, Group Finance Director of the Company, that on 22 April 2013, his spouse, Mrs Adele Sutcliffe transferred 30,000 Ordinary Shares of 10p each in the Company ('Ordinary Shares') at a price of 173.625 pence per share, into a personal Self Investment Pension Plan. Separately, on 22 April 2013, Mrs Sutcliffe also sold 7,300 Ordinary Shares at a sale price of 172.3 pence per share in order to satisfy certain tax obligations which will arise on the exercise of LTIP shares in Henry Boot PLC in the near future.

Following these transactions, Mr Sutcliffe has a total beneficial interest in 320,261 Ordinary Shares, representing 0.244% of the issued share capital of the Company.
