HENRY BOOT PLC ('the Company') 

Notification of transactions by a Person Discharging Managerial Responsibilities

The Company has today been advised of the following transactions in the ordinary shares of 10 pence each in the issued share capital of the Company ("Ordinary Shares") by Mr EJ Boot (Group Managing Director) and his wife, Mrs SP Boot, which took place on 13 October 2010 in Sheffield:

Mr EJ Boot and Mrs SP Boot transferred by way of gift, 385,000 Ordinary Shares each, at a price of 84.5 pence per share, to a new family trust of which their children will be the primary beneficiaries, with the shares registered in the name of EJ Boot & SP Boot a/c TBCT.  Mr EJ Boot and Mrs SP Boot are the trustees of the trust.  This transaction has the effect of decreasing Mr EJ Boot and Mrs SP Boot's beneficial interest by 385,000 Ordinary Shares each and increasing their non-beneficial interest by 385,000 Ordinary Shares each.

The total beneficial and non-beneficial interests of Mr EJ Boot and Mrs SP Boot in the Ordinary Shares are now as follows.
