Notification of Interests of Directors and Other Persons

Henry Boot PLC

The company has today been notified that as a result of various transfers within the Boot family the total share 
holdings have altered as follows.

Mr EJ Boot, Managing Director, has reduced his beneficial holdings from 1,258,568 to 1,077,739 and his non-beneficial 
holdings from 196,740 to 144,476 ordinary shares.  His beneficial holdings now constitute 4.13% and his non-beneficial 
holdings 0.55% of the Company's shares in issue.

Mr DH Boot, Director, has reduced his non-beneficial holdings from 244,135 to 218,635 ordinary shares.  His beneficial 
holdings remain at 443,315 ordinary shares.  His holdings now comprise beneficial 1.70% and non-beneficial 0.83% of the 
Company's shares in issue.

In relation to the above Mr WJ Boot, a connected person to Mr EJ Boot, now holds 119,254 ordinary shares and Mr HJE Boot
and Miss GC Boot are no longer connected persons to Mr EJ Boot.  Furthermore Mr JH Boot no longer has a notifiable 
interest in the shares of the Company.
