We have been advised by Mr. Edward James Boot, Group Managing Director of Henry
Boot PLC, that he and his wife have today transferred from two family trusts a
total of 152,380 Ordinary Shares in the Company (registered in two accounts both
in their joint names and constituting 0.58% of the total number of Ordinary
Shares in issue) in equal proportions to their three children (two adult
children, Mr. Hamer J.E. Boot and Miss Georgina C. Boot, both deemed to be
connected persons, and one child under the age of 18, William J. Boot). As a
result of these transactions, Mr. E.J. Boot's total beneficial and
non-beneficial interests in the Ordinary Share capital of the Company are now
respectively 1,455,308 shares (5.58% of the total in issue) and 196,740 shares
(0.75% of the total in issue).
