                         Extraordinary General Meeting


The Henderson Smaller Companies Investment Trust plc hereby gives notification
that, at the Extraordinary General Meeting of the Company held today, the
resolution, as set out in full in the notice of meeting dated 31 May 2002, was
duly passed. The resolution gave authority to the Company to make market
purchases of up to 20,196,176 ordinary shares (being 14.99% of the ordinary
shares in issue at 26 June 2002).
