Annual General Meeting held on 24 September 2010

The Henderson Smaller Companies Investment Trust plc announces that, at the Annual General Meeting held earlier today, all the resolutions put to the meeting were duly passed.  The resolutions that were passed included three special resolutions, one of which gives authority to the Company to make market purchases of its own ordinary shares up to a maximum of 14.99% of the issued share capital (equivalent to 11,228,528 ordinary shares as at 24 September 2010).    Copies of the new Articles of Association will be submitted to the National Storage Mechanism and will be available for inspection at: www.Hemscott.com/nsm.do.  As previously announced, Mrs S M Davis retired from the Board at the conclusion of the Annual General Meeting.
