                Annual General Meeting held on 28 September 2007


The Henderson Smaller Companies Investment Trust plc announces that, at the
Annual General Meeting held earlier today, all the resolutions proposed were
duly passed.  These included as special business an ordinary resolution, that
the Company continue as an investment trust, and two special resolutions,
including a special resolution that the Company be generally authorised to make
market purchases of its own ordinary shares up to a maximum of 14.99%
(equivalent to 12,613,489 ordinary shares as at 28 September 2007).



The Chairman, in proposing the re-election as a director of Mr J M P Taylor,
informed the meeting that Mr Taylor intends to retire from the Board at the
conclusion of the annual general meeting to be held in 2008.
