                             Annual General Meeting

The Henderson Smaller Companies Investment Trust plc hereby gives notification
that at the Annual General Meeting of the Company held today all the
resolutions, as set out in full in the notice of meeting dated 24 July 2002,
were duly passed. One of the resolutions gave authority to the Company to make
market purchases of up to 18,901,040 ordinary shares (being 14.99% of the
ordinary shares in issue at 27 September 2002).

Mr M S Meyer retired from the board at the conclusion of the Annual General
Meeting today.
