The Henderson Smaller Companies Investment Trust plc hereby gives notice that an
Extraordinary General Meeting of the Company will be held on 26 June 2002 to
which a special resolution will be put to grant a new general authority for the
Company to repurchase up to 14.99% of its ordinary shares. Copies of a circular
are being sent to shareholders today.
